IMPORTANT - PLEASE READ CAREFULLY: These Terms of Service ("Terms") constitute a legally binding agreement between you and Tesselabs LLC, operating as Kinali ("we," "us," or "our"), governing your use of the Kinali platform, including our website, mobile applications (Android), and all related services (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using any part of the Service, you agree to these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Service.
Minimum Age Requirement: You must be at least 18 years old to create an account and use the Service independently. Users under 18 may only use the Service with the involvement and explicit consent of a parent or legal guardian who has read and agreed to these Terms.
2. Service Description and Scope
Kinali is a family caregiving coordination platform designed to help families organize health information, medical records, appointments, and caregiving tasks for their loved ones. The Service includes:
- Storage and organization of health information and medical records
- Voice recording and transcription services
- Document scanning and optical character recognition (OCR)
- AI-assisted data extraction and organization
- Shared access through Care Circles
- Calendar and appointment management
- Task coordination among caregivers
The Service is NOT: medical advice, professional healthcare services, emergency services, or a substitute for consultation with qualified healthcare professionals. See Section 9 for complete medical disclaimers.
3. User Accounts and Registration
3.1 Account Creation
To use the Service, you must:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Be at least 18 years old OR have parental/guardian consent if under 18
- Notify us immediately of any unauthorized access to your account
3.2 Account Responsibility
You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.
3.3 Children's Accounts and Data
If you are creating an account to manage information for a child under 18:
- You represent that you are the child's parent or legal guardian
- You consent to the collection, use, and sharing of the child's information as described in our Privacy Policy
- For children under 13, additional parental consent mechanisms apply (see Privacy Policy)
- You are responsible for all data entered about the child and for granting/revoking access to that data
4. Subscription Terms
4.1 Service Tiers
Kinali offers two subscription tiers:
Free Tier:
- Basic features with limitations
- No payment required
- Subject to usage restrictions
- No support included
Plus Tier:
- Higher usage limits
- Enhanced storage capacity
- Email support
- Additional AI processing capabilities
4.2 Billing and Auto-Renewal
- Plus subscriptions automatically renew each month unless canceled
- You authorize us to charge your payment method on each renewal date
- Subscription fees are charged in advance for each billing cycle
- We may change subscription fees with 30 days' prior notice
4.3 Free Trial (if applicable)
If we offer a free trial period, you must cancel before the trial ends to avoid charges. Failure to cancel will result in automatic conversion to a paid Plus subscription.
5. Payment, Billing, and Refunds
5.1 Payment Processing
Subscription payments are processed through the app store platform you used to subscribe (e.g., Google Play). By subscribing, you:
- Authorize the app store to charge your payment method for all fees
- Agree to the app store's terms and conditions for in-app purchases
- Acknowledge that billing is managed by the app store, not directly by us
5.2 Cancellation
You may cancel your Plus subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to Plus features until the end of the paid period.
5.3 Refund Policy
No Refunds: Subscription fees are non-refundable except as required by law or at our sole discretion. If you cancel mid-cycle, you will not receive a refund for the current billing period but will retain access until the period ends.
5.4 Promotional Codes and Discounts
We may offer promotional codes or discounts. These are subject to specific terms and conditions and may be revoked or modified at any time.
6. Care Circle Data Sharing and Permissions
6.1 Care Circle Structure
A Care Circle is a group of users who share access to a care recipient's health information. Each Care Circle has:
- One Circle Owner: The user who creates the Circle
- Care Recipients: Individuals whose health information is managed
- Care Circle Members: Users granted access by the Circle Owner
6.2 Circle Owner Rights and Responsibilities
The Circle Owner has complete control over the Circle, including:
- Adding and removing members
- Granting and revoking access permissions
- Deleting the entire Care Circle
- Controlling what information is shared
IMPORTANT: The Circle Owner can unilaterally remove any member's access at any time. Removed members will immediately lose access to all shared information.
6.3 Data Ownership in Care Circles
- Data ownership remains with the user who enters the information
- By adding information to a shared Care Circle, you grant other Circle members permission to view (and potentially edit) that information
- The Circle Owner controls access permissions but does not automatically "own" data entered by other members
6.4 Dispute Resolution for Shared Data
Court Orders and Legal Disputes: If you are involved in a legal dispute (divorce, custody battle, etc.) involving shared data in a Care Circle:
- We may comply with valid court orders regarding data access
- We do not mediate family disputes or make custody/access determinations
- You should seek independent legal counsel for disputes over data access
- We may provide data export upon receipt of valid court orders
If you believe you have been wrongfully removed from a Care Circle, contact our support team, but we cannot override Circle Owner permissions without a court order.
6.5 Abuse and Emergency Access Revocation
If you report domestic violence, abuse, or safety concerns:
- Contact our support team immediately
- We may suspend or revoke abuser access pending investigation
- We will cooperate with law enforcement as required by law
- You may request immediate export of your data before access changes take effect
7. User-Generated Content and Data Ownership
7.1 Your Content
You retain ownership of all data, information, photographs, voice recordings, documents, and other content you upload or create using the Service ("Your Content").
7.2 License Grant
By uploading Your Content to the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to:
- Store, process, and display Your Content to provide the Service
- Process Your Content through AI services (transcription, OCR, data extraction)
- Share Your Content with third-party service providers (Google Cloud, Supabase, Cloudflare, Resend, PostHog) as necessary to provide the Service
- Back up and maintain copies for operational and legal purposes
This license terminates when you delete Your Content, subject to technical and legal retention requirements.
7.3 Responsibility for Your Content
You are solely responsible for:
- The accuracy of Your Content
- Ensuring you have the right to upload and share Your Content
- Compliance with applicable laws when uploading health information
- Verifying AI-generated outputs (transcriptions, extracted data) for accuracy
You must NOT upload:
- Content you do not have permission to share
- Content that violates others' privacy or rights
- Content that is illegal, defamatory, or violates these Terms
8. AI-Generated Content Disclaimers and Limitations
8.1 AI Processing Services
The Service uses artificial intelligence from third-party providers to:
- Google Gemini (via Vertex AI): Transcribe voice recordings to text, extract text from images (OCR), structure medical data, analyze documents
8.2 AI Accuracy Limitations
IMPORTANT - AI MAY MAKE ERRORS:
- Voice transcription may be inaccurate, especially with medical terminology, accents, background noise, or poor audio quality
- OCR may misread text, especially from handwritten notes, low-quality scans, or complex layouts
- AI-extracted medication dosages, diagnoses, or other medical information MUST be verified against original sources
- AI may hallucinate, misinterpret, or omit important information
NEVER rely solely on AI-generated content for medical decisions. Always:
- Review and correct AI outputs
- Consult original documents
- Verify critical information (medications, dosages, allergies) with healthcare providers
8.3 Third-Party AI Processing
Your Content may be sent to third-party AI processors (Google Cloud Vertex AI). See our Privacy Policy for details on:
- What data is shared with AI providers
- Data retention policies
- Opt-out options for AI training (where available)
- Business Associate Agreements (BAA) status for health data
BAA Status: We have a HIPAA Business Associate Addendum (BAA) with Google Cloud Platform, which processes all AI features. However, Kinali does not represent itself as HIPAA-compliant. See our Privacy Policy Section 18 for details.
8.4 Your Responsibility to Verify AI Outputs
You acknowledge and agree that:
- AI outputs are suggestions, not medical advice
- You are responsible for reviewing and correcting all AI-generated content
- We are not liable for errors in AI-generated content
- You must verify all extracted medical information before relying on it
9. Medical Disclaimer
KINALI IS NOT A HEALTHCARE PROVIDER. THE SERVICE IS FOR ORGANIZATIONAL PURPOSES ONLY.
9.1 No Medical Advice
- The Service does NOT provide medical advice, diagnosis, or treatment
- AI-generated content is NOT medical advice
- No doctor-patient relationship is created by using the Service
- We do not employ licensed healthcare professionals to review your data
9.2 Consult Healthcare Providers
You must:
- Consult qualified healthcare providers for all medical decisions
- Verify all medical information (diagnoses, medications, dosages) with your healthcare team
- Never delay seeking medical advice based on information in the Service
- Not use the Service as a substitute for professional medical judgment
9.3 Emergencies
DO NOT USE THE SERVICE FOR MEDICAL EMERGENCIES. In case of emergency, call 911 (US), 112 (EU), or your local emergency services immediately.
9.4 Accuracy of User-Entered Data
You are solely responsible for:
- The accuracy of health information you enter
- Updating information when medical conditions change
- Informing healthcare providers of all relevant medical history
We do not verify, validate, or confirm the accuracy of user-entered health information.
10. Prohibited Uses and Acceptable Use Policy
You agree NOT to:
- Violate any applicable laws or regulations
- Upload false, misleading, or inaccurate information
- Upload content you do not have permission to share
- Impersonate others or misrepresent your identity
- Harass, threaten, or harm others
- Attempt to gain unauthorized access to the Service or others' accounts
- Reverse engineer, decompile, or attempt to extract source code
- Use automated tools (bots, scrapers) without our written permission
- Use the Service for illegal activities or to violate others' rights
- Upload malware, viruses, or malicious code
- Interfere with the Service's operation or security
Violation of this policy may result in account suspension or termination without refund.
11. Intellectual Property Rights
11.1 Our Intellectual Property
The Service, including all software, designs, logos, trademarks, and content we create, is owned by Tesselabs LLC and protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or distribute our intellectual property
- Use our trademarks without written permission
- Create derivative works based on the Service
11.2 Trademarks
"Kinali" and associated logos are trademarks of Tesselabs LLC. Unauthorized use is prohibited.
11.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you.
12. Limitation of Liability and Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
12.1 No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICE
- SECURITY OF DATA OR PROTECTION AGAINST UNAUTHORIZED ACCESS
- ACCURACY OF AI-GENERATED CONTENT (TRANSCRIPTIONS, OCR, DATA EXTRACTION)
12.2 Limitation of Liability
WE ARE NOT LIABLE FOR:
- AI ERRORS: Inaccurate transcriptions, OCR mistakes, incorrect medication dosages, or other AI-generated errors
- DATA LOSS: Loss or corruption of Your Content due to technical failures, breaches, or other causes
- HEALTH OUTCOMES: Medical decisions made based on information in the Service
- CARE CIRCLE DISPUTES: Family disputes over data access, removed members, or shared information
- INDIRECT DAMAGES: Lost profits, data loss, business interruption, or consequential damages
- THIRD-PARTY SERVICES: Failures or issues with Google Cloud, Supabase, Cloudflare, Resend, PostHog, or other providers
MAXIMUM LIABILITY: Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
12.3 Jurisdictional Limitations
Some jurisdictions do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Tesselabs LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or third-party rights
- Your Content or data you upload
- Medical decisions made based on information in the Service
- Disputes with other Care Circle members
14. Account Termination and Suspension
14.1 Termination by You
You may terminate your account at any time by:
- Contacting our support team, OR
- Using account deletion features in your account settings
Upon termination:
- You lose access to the Service immediately
- Subscription fees are non-refundable
- You may request data export within 30 days of termination
14.2 Termination by Us
We may suspend or terminate your account immediately if you:
- Violate these Terms or our Privacy Policy
- Engage in fraudulent or illegal activities
- Pose a security or legal risk
- Fail to pay subscription fees
14.3 Data Retention After Termination
After account termination:
- Your data will be retained for 30 days to allow recovery or export
- After 30 days, your data will be permanently deleted (subject to legal retention requirements)
- We may retain certain data for legal, regulatory, or audit purposes

15. Changes to Terms
We may modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date
- For material changes, we will notify you via email or in-app notification at least 30 days in advance
- Continued use of the Service after changes take effect constitutes acceptance of the new Terms
If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.
16. Dispute Resolution and Governing Law
16.1 Governing Law (Jurisdiction-Specific)
For Users in the United States: These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles.
For Users in the European Union (including Spain): These Terms are governed by the laws of Spain and the applicable EU regulations (GDPR).
For Users in Argentina: These Terms are governed by Argentine law, including the Personal Data Protection Law (LPDP 25.326).
For Users in Mexico: These Terms are governed by Mexican law, including the Federal Law on Protection of Personal Data (LFPDPPP).
16.2 Dispute Resolution Process
Before Filing a Lawsuit: You agree to attempt to resolve disputes informally by contacting our support team at hello@tesselabs.com. We will attempt to resolve the dispute within 60 days.
Arbitration (US Users Only): If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, except where prohibited by law.
Court Jurisdiction (Non-US Users): Non-US users may bring disputes in the courts of their jurisdiction as specified in Section 16.1.
16.3 Class Action Waiver (US Users Only)
You agree to resolve disputes individually, not as part of a class action or collective proceeding, except where prohibited by law.
17. Severability and Entire Agreement
17.1 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
17.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tesselabs LLC regarding the Service and supersede all prior agreements.
17.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
